SUPERVISORY BOARD

John Denhof

President of the Management Board

John Denhof has served as the President of the OTP banka Management Board since August 23, 2024, where he is responsible for internal governance.

Prior to that, he was the President of Nova KBM from Management Board from March 1, 2017 to August 22, 2023, where he was responsible for the implementation of the five-pillar strategy to transform Nova KBM into Slovenia's best bank. Mr. Denhof is an experienced senior executive with over 30 years of professional experience, having held various leadership positions at Citibank in emerging and developed markets, including Singapore, UK, USA, Turkey, Czech Republic, Spain, and most recently Slovenia.

Spyridon Ntallas

President of the Managament Board

Spyridon Ntallas became President of the Management Board of OTP banka on January 1, 2025.

Before that, from August 22, 2024, he was a member of the management board of OTP banka, responsible for the area of financial operations and planning (CFO).

Spyridon dedicated first 9 years of his career as external auditor in Deloitte Greece and EY Serbia. He joined Vojvodjanka banka a.d Novi Sad in April 2007, holding the CFO position until June 2020. Spyridon moved to SKB banka in July 2020, having the role of the CFO. From 1st December 2023 to August 21, 2024, he held the position of Deputy CEO, CFO and Member of the Board of Directors in SKB banka.

Spyridon earned his Bachelor’s degree from University of Piraues (“Banking & Finance”) and holds a post graduate diploma in Accounting and Auditing from the Association of Certified Auditors-Accountants in Athens, Greece.

MSc. Anita Stojčevska

Vice-president and member of the Management Board, responsible for Corporate banking

Anita Stojčevska, Master of Economics and Business Sciences, has been a member of the OTP banka Management Board since 23 August 2024 and is responsible for corporate banking. At the same time, she also holds the position of Vice- President of the Management Board of OTP banka.

She held a number of leading positions in SKB banka during the course of her long career, primarily in the front office. As a member of the management, she co-created the strategy of SKB banka since 2011 under the ownership of Societe Generale Group. She led SKB banka between December 2019 and 22 August 2024 as Chief Executive Officer. She is an active participant at industry events and conferences, where she enhances the business environment with her knowledge and experience. She received the 2021 Artemida award, which is awarded by the Manager Association to leading female managers, as well as the Beta Gamma Sigma International recognition for professional achievements awarded by the Faculty of Economics of the University of Ljubljana. She has been a member of the Supervisory Board of Pokojninska družba A since June 2023, member of the Ethic Committee of the Bank Association of Slovenia since June 2024, and member of the Strategic Council and Supervisory Board of the Bank Association of Slovenia, As of September 2024, she is also a member of the Supervisory Board of OTP faktoring d.o.o. Since March 2025 she is a member of the Board of CER Sustainable Business Network institution.

MSc. Gvido Jemenšek

Member of the Management Board, responsible for Retail business

Master of Economics and Business Sciences Gvido Jemenšek has been a member of the OTP banka Management board since 1 May 2024 and is responsible for retail banking.

He has extensive of experience in banking, which he gained primarily at Raiffeisen Bank, where he held various management positions, including as a member of the Management Board and most recently as President of the Management Board of Raiffeisen Bank. From 2017 until he took up the position of procurator at Nova KBM, he was a retail banking advisor to the Nova KBM Management Board.

MSc. Miha Kristl

Management Board member, responsible for Strategic risk governance

MSc Miha Kristl earned the title Master of Science at the Faculty of Economics of the University of Ljubljana. He has more than 20 years of professional experience in banking, focusing on risk management.

He held a number of executive positions during the course of his career, including Director of Risk Management in Raiffeisen Bank, Director of Group Risk Management in K&H Group, Hungary, and Director of Integrated Risk and Capital Management in KBC Group, Belgium. He was also the Executive Director of Banking Supervision at the Bank of Slovenia. After the end of hits term at the Bank of Slovenia, he joined Nova KBM, first as the Director of Credit Underwriting and Monitoring. He has held the function of Management Board member and CFO since 1 January 2022. Between 1 January 2022 and 6 February 2023, he also served as a member of the Supervisory Board of Summit Leasing Slovenija d.o.o.

MSc. Sabina Župec Kranjc

Management Board member responsible for Markets and Operations

Master of Economics and Business Sciences Sabina Župec Kranjc, member of the OTP banka Management Board responsible for Markets and Operations.

Ms Župec Kranjc has more than 27 years of professional experience in the banking industry. She joined Nova KBM in 2013 as the Executive Director of Financial Markets. In 2014, she became a member of the Nova KBM Management Board responsible for various business lines of the bank. In 2017, she took over the function of CFO and took over the position of Vice-President of the Management Board of Nova KBM, which she held until 22 August 2024.

She was a member of the Supervisory Board of the Bank Association of Slovenia between 2015 and November 2024, since then she performs function of deputy member. She also held several other supervisory positions during the course of her career (member of the Supervisory Board of Summit Leasing Slovenija, Chair of the Supervisory Board of Poštna banka, Chair of the Audit Committee and member of the Supervisory Board of Abanka). Prior to this, she held the position of Director of Treasury and Deputy Executive Director of Financial Markets in Abanka. She was also the Head of Treasury in Raiffeisen Bank.

Vojko Božiček

Management Board Member, responsible for Digital

As of January 14, 2025, Vojko Božiček is a member of the Management Board of OTP banka and Chief Digital Officer (CDO).

Vojko brings more than 25 years of experience in IT and banking and has a proven track record in driving IT strategy, execution and digital transformation.

Vojko started his career at HERMES SoftLab d.o.o., where he developed a solid foundation in software development and quality assurance. Over the years, he took on roles of increasing responsibility, including the positions of Director of IT and Head of Data Warehouse Department, which provided him with a comprehensive understanding of both technical and strategic aspects of IT.

Prior to his nomination as CDO of OTP Banka, Vojko served as Director of IT Execution at Nova KBM from July 2020 and successfully led the IT department through a significant period of technological advancement. Prior to that, he held senior positions at Abanka and Banka Celje, where he played a key role in overseeing IT initiatives and managing complex projects. Since February 2025 he is a member of Supervisory Board of Bankart d.o.o.
